The Utah corporate income tax return is prepared for calendar, fiscal and short year corporations. Using entries from the federal tax return and Utah worksheets, the following forms are prepared for the Utah return:
Form TC-20, Utah Corporation Franchise or Income Tax Return
Form TC-20MC, Utah Tax Return for Miscellaneous Corporations
Form TC-20M, Utah Schedule M
Form TC-559, Utah Corporate Tax Payment Coupon (for Extension)

A copy of the federal return is provided for filing with the Utah return.
Federal Interview Form Notes and Features
Federal Form 1120-REIT
Every real estate investment trust (REIT) or fund of such company, as defined in IRC 856, registered or doing business in Utah must file a Utah form TC-20MC. Doing business in Utah includes owning an interest in Utah real property. Attach a copy of your federal form 1120-REIT to your Utah TC-20MC. Other detail schedules should NOT be included. The Auditing Division of the Tax Commission may request these detail schedules at a later date. If the federal Form 1120-REIT is prepared, Utah Form TC-20MC will be generated.
Generic Consolidated Return
A state consolidated tax return is processed for Utah corporations by submitting the state input forms with the consolidating federal forms. The state consolidated tax return generated under this input scheme is also known as the state "generic" consolidated tax return because the return is processed as a regular corporation return except the federal consolidated taxable income is used as the starting point.
Detailed supporting statements from input on the state input forms are produced as well as for the compensation of officers on federal General Worksheet, Stock Ownership Section, depreciation, gains (losses) on sales of assets, and passive activity losses for those states which recognize FS entries. However, detailed supporting statements are not produced for taxable income, balance sheet, Schedules M-1 and M-2, or state consolidated/combined statements showing company-by-company detail. Therefore, you may want to attach a copy of the federal consolidated return as supporting documentation.
No state unique combined/consolidated forms are produced. The return should be reviewed closely to ensure its correctness and completeness.
Utah consolidated/combined filings have a minimum tax based on the number of companies in the consolidated/combined group. The Utah minimum tax will be computed using the number of companies included with the federal return.
State Common Data
Use federal input on State Common Data forms that provide a centralized location to create state returns and to enter data common to all states and cities. Following is a description of each series of State Common Data forms and how they interact with processing a Utah S Corporation return:
State/City Generation Forms
A state or city return may be processed by selecting the states or cities you wish to include with your federal return on federal the State/City Generation worksheet under the Common State category. No additional entries on state/city input forms are required. This provides a centralized location to manage your single or multistate returns. If you wish to delete a state or city from your return after you created and processed it using the State/City Generation forms, uncheck the applicable field on these forms and use the Delete State feature in the Edit menu.
General Information Forms
These forms are used to enter data common to all states and cities returns. They provide a centralized location and generic format to simplify entering state and city data. Not all state and city data are contained here. Fields which are unique or not shared by a group of entities is still located on unique state and city input forms.
When using these forms an entry is mandatory in the State/City Code field. Presence of data on this form will NOT create a state or city return. These may be created in only two ways:
Selecting states or cities on the State/City section of the Common Data worksheet or
Presence of state/city level input forms
You may designate data to apply to a particular state/city return or you can indicate that it is to apply to all of the state/city returns present. To flag your entries to a particular state/city, enter the state/city code from the picklist in the State/City Code field. To apply your input to all of the states and cities present make an "ALL" entry in the State/City Code field.
There are 3 levels of default for the General Information input series:
The first level is the Basic Data entered with the federal return. This applies only to selected fields. Specifically those followed with word "override" on the worksheet. For example, if no entries are made on General Information input series for date of incorporation, the states/cities will default to the incorporation date on the federal Basic Data worksheet.
The second level is input of Common Data with a state/city code of "ALL". "ALL" code means it applies to every state and city in the return, unless a unique state/city code is present. For example, if you make an entry for the incorporation date on the General Information section of the State/City Common Data worksheet which is different from the federal, all the states will default to the "ALL" coded date and ignore the federal date. However, if a General Information entry is also present with a different date and a state code of UT, then Utah will pick up the UT coded date and ignore the federal date and the General Information entry date coded "ALL".
The third level is input of General Information with a specific state/city code. If both an "ALL" occurrence and a specific state/city entry is present, data must be present in a particular field of the unique state/city occurrence or the default to "ALL" entry for that field will still take place. For example, you have entered General Information form coded "ALL" which contains an entry for Telephone Number. You have also entered a General Information form coded UT and made only one entry to indicate that it is an initial return for Utah. The Utah program will pick up your initial return entry and also the telephone number from your "ALL" entry, since no telephone number was entered with the UT input.
State Tax Payments
Use The State Tax Payments worksheet under the Payment/Penalty category to enter estimated tax payments, withheld amounts, and various other tax payments for Utah. An entry in the State Code field is mandatory. Not all fields apply to all states. Once an entry of "UT" is made in this field, you can access only those fields which are applicable to Utah. Presence of data on this form will NOT create a state return.
Taxes Paid Based on Income and/or Not Based on Income: If you have identified yourself as a Cash Basis taxpayer, your entries in the columns for Taxes Based on Income and/or Not Based On Income will be carried to the Taxes and Licenses deduction line on page 1 of the federal return. We identify you as a Cash Basis taxpayer if your accounting method is identified as cash on the Miscellaneous Information section of the Basic Data worksheet, and the State Tax Accrual option has NOT been selected on the Processing Option section of the Basic Data worksheet. Your entries here will also be used by Utah in arriving at the applicable state tax deductions and/or addbacks to federal income. Any entries on the Taxes and Licenses section of the Business worksheet will be in addition to your entries in these fields. You may override this treatment of the detailed state and city tax payments by making an entry in the field entitled Suppress Carrying of Detailed State/City Tax Payments for Cash Basis Taxpayers on the Processing Options section of the Return Option worksheet or by selecting the same option in the Return Configuration Set.
If you are an Accrual Basis taxpayer, your entries in the columns for Taxes Based on Income and/or Not Based on Income will NOT be carried to the Taxes and Licenses deduction line on page 1 of the federal return or used to determine any state addbacks or tax deductions. We identify you as an Accrual Basis taxpayer if your accounting method is identified as accrual on the Miscellaneous Information section of the Basic Data worksheet, or the State Tax Accrual option has been selected on the Processing Option section of the Basic Data worksheet.
State Estimated Tax Forms
Enter the estimated tax information for Utah on the Estimates and Application of Overpayment worksheet under the Payment/Penalty category. Enter UT in the field entitled State Code. This is a required entry. No assumption of the state code is made. An entry in the State Code field is mandatory. Not all fields apply to all states. You can access only those fields which are applicable to your entry in the State Code field. Presence of data on this form will NOT create a state return.
Penalty Forms
Use these forms to enter penalty information for Utah. Late interest and penalty information is entered on the State/City Interest and Penalty worksheet and underpayment of estimated tax data is entered in the State/City Underpayment Penalty worksheet under the Payment/Penalty category. Enter UT in the field entitled State Code. This is a required entry. No assumption of the state code is made. An entry in the State Code field is mandatory. Not all fields apply to all states. You can access only those fields which are applicable to your entry in the State Code field. Presence of data on this form will NOT create a state return.
Multi-State Apportionment Amounts and Factors
Select Detail Code: On the federal Common State category, Allocation and Apportionment worksheet, various sections a detail code is entered at the head of each column, and the amount for each state is entered on the line for that state. The total everywhere amount will be computed as the sum of the entries for each state, plus entries on the lines for foreign and others. Detail codes are provided for each category of property, sales and payroll. The federal Common State category, Total Everywhere Overrides worksheet are available to override the total everywhere amounts for each factor. Refer to the federal instruction guide section for Multi-State Processing for additional information.

An entry of "UT" is required on Other Worksheet, Federal Extension Section, state code field to prepare the extension voucher. An entry on Other Worksheet, Federal Extension Section, Tentative tax - override Field overrides the computed tax due.
Depreciation
Utah allows federal depreciation. State depreciation is calculated from entries on federal Income/Deduction Worksheet, Deduction Section, State Depreciation and Amortization field. This input is NOT used to calculate Utah depreciation.
Net Operating Loss Carryforward
Entries on federal Income and Deduction Worksheet, NOL Carryover Section are printed on a supporting statement for "Utah Net Operating Loss" on Form TC-20, page 3, Schedule A. The "FS" and "State" codes should be used if there are differences between federal and Utah amounts. Utah Others Worksheet, NOL Carryback Section "Utah net operating loss carryover - override" overrides all other entries for Utah net operating loss.

Enter interest from U.S. obligations in the U.S. Bonds and Obligations fieldson federal Income and Deduction worksheet, Interest section, US Obligation Bond field. Amounts entered in these fields are included on the Utah return.
Municipal Bond Interest
Enter municipal bond interest received from all states in the Municipal Bonds fields on the federal Interest worksheet, Interest section, and Municipal Bonds fields. Amounts entered in these fields are added to the Utah return.
Foreign Dividend Gross-Up
An entry on the federal Interest Worksheet, Dividend Section, Category Code "FG" Field is deducted on Form TC-20, Page 4, Schedule C from federal taxable income. Do not include foreign dividend gross-up in the Utah Income and Deduction Worksheet, Deduction Section, Other Deductions field. Entry on UT Income and Deduction Worksheet, Deduction Section, Foreign Dividend Gross-Up field overrides all other entries.
